If your association with its registered office in Saxony primarily aims to carry out commercial activities, you can submit an application to the Saxony State Directorate for the granting of legal capacity as a commercial association.

• the original and uncertified copies of the Articles of Association of the Association
• the minutes of the founding meeting of the association
• a copy of the certificate of appointment of the Board of Directors

• The purpose of the association is directed towards commercial business operations
• Furthermore, the association cannot be expected to organise itself in another legal form under commercial or company law (e.g. GmbH, public limited company, cooperative) and thus obtain legal capacity.

The granting of legal capacity in accordance with § 22 BGB is subordinate to other forms of organisation under commercial and company law through which legal capacity can be obtained.

The association must therefore have exhausted all possibilities to obtain legal capacity by other means. An exception to this is only made if the legal form of a commercial association is expressly authorised by special federal regulations (e.g. under the Market Structure Act).

Apply for the granting of legal capacity as a commercial association in writing using the form"Application for the granting of legal capacity in accordance with Section 22 BGB". Please check beforehand whether your association fulfils the relevant requirements (see application).

• Print out the form and enter the required information.
• Submit the application with the required documents by post to the Saxony State Directorate (->Competent Office).

After the application has been checked, you will receive written notification as to whether your application has been approved.
