The establishment of a European company takes effect through registration in the commercial register. In addition, the registration is published in the Official Journal of the European Union for information purposes.
Registration:
Audit reports of the members of the Supervisory Board and the Management Board or Administrative Board as well as the founding auditors together with their documentary documents, in the case of Sections 26 and 27 AktG , the contracts on which the determinations are based or which have been concluded for their implementation, as well as a calculation of the founding costs incurred by the company
Depending on the form in which the European company is founded, additional documents may be required.
- Certificate of incorporation with statutes
- Certificates on the appointment of the Management Board and the Supervisory Board (dualistic system) or the Administrative Board and the Managing Directors (monistic system)
- Proof that the amount paid in is finally at the free disposal of the Board of Directors or the Managing Directors (bank confirmation)
- List of Supervisory Board members or Administrative Board members

Registration is carried out exclusively electronically, and a publicly certified document is created for this purpose. The declaration is provided with an electronic signature (in accordance with Section 39a of the Notarization Act/BeurkG ) and sent to the electronic court and administrative mailbox of the registry court. After successfully registering for entry in the commercial register, you will receive a notification of entry. The entry will also be published in the Official Journal of the European Union for information purposes.
Changes:
Has important information about your company changed, such as the company headquarters, legal form or authorized representatives? Then please have the commercial register entry corrected immediately.
