A European Economic Interest Grouping (EEIG) may be set up by companies or other entities governed by public or private law under the national law of a Member State. It may also be set up by natural persons carrying on an industrial, commercial, craft, agricultural or professional activity or providing other services in the Community. The contract establishing an EEIG must specify the name, registered office, object of the business and, where appropriate, the name, number and place of registration of each member of the grouping, as well as the duration of the grouping, unless it is unlimited. This contract must be entered in the register provided for this purpose by each Member State. Registration gives the EEIG full legal capacity throughout the Community. Each establishment or dissolution of an EEIG is also published in the Official Journal of the European Union for information purposes.
Registration:
- founding contract
- Certificate of appointment of the managing directors.
A European Economic Interest Grouping (EEIG) must consist of at least two members from different Member States, but may not employ more than 500 people.
For entries in the commercial register, fixed fees are charged in accordance with the Commercial Register Fees Ordinance.
The registry court must decide on the entry immediately after receipt of the application. If all documents are available and no objections from the court are necessary, entries are usually made within a few working days.
Registration takes place at the competent registry court.
The competent court is the registry court within whose jurisdiction the EEIG has its registered office as stated in the founding contract.
